End User License Agreement

Agreement to Terms

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Makin' It Move Transport, LLC ("Company," "we," "us," or "our") for use of our software applications, websites, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Services.

License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes related to transportation and logistics operations.

User Accounts

To access certain features of the Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any portion of the Services
• Share your account credentials with third parties
• Use the Services to transmit malicious code or harmful content

Third-Party Integrations

Our Services may integrate with third-party applications and services, including but not limited to QuickBooks, DocuSign, and communication platforms. Your use of such integrations is subject to the terms and conditions of those third-party services.

We are not responsible for the availability, accuracy, or functionality of third-party services. You acknowledge that enabling third-party integrations may allow data sharing between our Services and those platforms.

Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

Intellectual Property

The Services and all content, features, and functionality thereof are owned by Makin' It Move Transport, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAKIN' IT MOVE TRANSPORT, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICES.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach this Agreement. Upon termination, your right to use the Services will immediately cease.

Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on our Services with a new "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the revised Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
